We have drafted model contracts for international use by Argentine and foreign multinational corporations, distribution, agency and commercial representation agreements; equipment and infrastructure purchase, assembly and erection contracts for the mining industry and construction contracts, among others.

Dispute Resolution | Litigation

We represent our clients in civil, commercial, customs, labor, insolvency and administrative litigations before judicial courts and national, provincial and municipal administrative agencies.

We assist debtors and creditors in insolvency, bankruptcy and debt restructuring procedures, both in court and in out-of-court proceedings and negotiations.

Real estate | agribusiness

We provide comprehensive legal advice in the purchase, sale and development of real estate projects and commercial short- and long-term leases of varying complexity for Argentine and foreign companies and individuals. We assist in the negotiation and drafting of construction contracts and in the design of structures to finance and develop real estate business ventures.

We also advice local and foreign clients in the acquisition, lease and development of rural real estate and in all legal aspects involved in the exploitation of land for agriculture and cattle production and commercialization.

COMPLIANCE

We advice our clients in the design and implementation of tailor-made compliance programs, as well as in the assessment and optimization of existing programs.

We cooperate with U.S. law firms in assisting our clients to adjust their compliance practices to the requirements of U.S. law, as well as in the negotiation, implementation and compliance of agreements with the United States Department of Justice, the remediation of compliance-related crises and the internal reorganization and remediation of commercial relationships in the aftermath of a corruption scandal. We also assist in the training of officers and employees and perform contractor and commercial partner compliance due diligence.

Tax law

We assist our clients in the planning and structuring their investments in Argentina from a tax perspective. We render comprehensive tax advice to companies and individuals and also assist them in the structuring of specific national and cross-border transactions. We analyze and recommend tax structures in merger and acquisition transactions, corporate reorganizations, cross-border investments and financial transactions.

We represent our clients in tax proceedings before revenue service agencies and in all instances of tax litigation proceedings.

Labor Law

We provide comprehensive legal advice in matters of labor and social security law. We assist our clients in complex labor matters across a broad range of industries. We assist in the negotiation and drafting of employment contracts, in the creation of alternative compensation structures (stock options and plans, bonuses, employee retention and loyalty programs) and in the termination of top-tier company officers.

We represent our clients in labor litigation dispute resolution processes with employees and trade unions.

Film and Entertainment Law

We provide comprehensive legal advice to companies in the film and entertainment industries, including for the production of content for cinema and television, the negotiation and drafting of contracts with co-producers, investors, actors, directors, script writers and musicians; the assignment of protected material, lease of locations, equipment, use of artistic or heritage sites, museums or works of art; assignments of rights to a person’s image, name, voice, brand or other protected material or rights. We represent our clients before artist and musician guilds and other associations, Argentores, the Argentine Actors Association, SADAIC, the Argentine Interpreters’ Association, etc. We also advice on the international exploitation of content formats.

We assist clients with the financing of film productions, file for subsidies from the INCAA, negotiate co-production agreements with sponsors and other financing structures.

We also represent our clients in judicial disputes relating to the exploitation of formats, breaches of intellectual property rights and damage claims.s

Banking | financing | debt restructuring

We advice clients in matters relating to the regulatory framework that governs financial entities in Argentina, including Central Bank and foreign exchange regulations.

We assist clients in the negotiation and structuring of secured and unsecured loans, syndicated loans, leasing agreements, trusts, project finance, import and export financing and debt restructuring.

We also assist creditors and debtors in bankruptcy and other insolvency and restructuring proceedings. We represent local and international creditors who wish to evidence their credit in various types of insolvency proceedings in Argentina, in their participation in insolvency litigation, in the enforcement of guarantees and in the acquisition of insolvent companies, as well as in their participation in out-of-court insolvency settlements and debt swap agreements.

Capital markets

We advice clients in the public offering of equity and debt securities, in all transactions involving listed shares and debt securities and in the creation of open or closed investment funds.

We also provide advice in the day-to-day compliance with the regulatory framework applicable to capital markets in Argentina, with special focus on the disclosure of relevant facts and other disclosure obligations.

International Trade

We represent clients in all customs proceedings before judicial and administrative authorities.

We assist our clients in the valuation of merchandise pursuant to Argentine regulations, the assessment and valuation of related-party transactions and the implementation of complex cross-border tax and customs structures.

We render advice on local trade regulations as well as regional and international trade laws, including legislation and recommendations issued under the GATT, or issued by the World Trade Organization, the World Customs Organization, MERCOSUR and ALADI.

We also advice clients on origin regimes, tariff preferences, requirements for the certification of origin and preferential programs (temporary importation, capital goods importation and turnkey industrial plant importation, among others).

Estates and Inheritance Law

We represent resident and non-resident clients in all stages of inheritance procedures in Argentina, with or without a testament, as well as in the management of undivided estates and the tax planning for the transfer of assets and estates after an individual’s passing.
